Terms of Service
These Terms of Service govern the contract between E.A.S.Y. (Owner: Robby Stude, Pfortenteich 6, 99974 Mühlhausen, Germany) and users of the platform easylisting.io and the app easylisting.
§ 1 Scope
These Terms of Service apply to all contracts for the use of the Software-as-a-Service offerings provided at easylisting.io, app.easylisting.io, and through the app easylisting by the provider E.A.S.Y. (Owner: Robby Stude, Pfortenteich 6, 99974 Mühlhausen, Germany; hereinafter "Provider").
Conflicting or deviating terms of the user do not apply unless the Provider expressly agrees to them in writing.
§ 2 Services
The Provider offers under the brand name E.A.S.Y. (Economic AI-Driven Smart Yield) a web-based SaaS platform and the app easylisting. The services include in particular:
- AI-powered optimization of product listings for e-commerce channels (Amazon, eBay, Etsy, Google Shopping, TikTok Shop, and others)
- SEO analysis and ranking recommendations for product pages and marketplace listings
- Industry benchmarks and comparative data
- Channel connectors for marketplaces and shop systems
- AI assistant "Mira" for listing and marketing guidance
- Image optimization and image generation (billed via a separate image wallet)
The specific services included in each plan are described at /en/plans-and-modules/. The Provider is entitled to further develop the service scope as long as the core character of the service is maintained.
§ 3 Registration and User Account
Use of the platform and the app easylisting requires registration with a valid email address. The user confirms they are of legal age (at least 18 years old) and that all provided information is accurate. Credentials must be kept confidential and must not be shared with third parties. The account holder is responsible for all actions performed through their account.
User accounts are non-transferable. The Provider is entitled to suspend accounts if there is reasonable cause to suspect misuse.
§ 4 Contract and Term
The contract is concluded by selecting a plan, entering order data, and completing payment via Stripe. A confirmation is sent by email. Monthly subscriptions commence on the activation date and auto-renew for one additional month unless cancelled in accordance with § 13.
Annual subscriptions run for twelve months and auto-renew for a further twelve months unless cancelled at least six weeks before expiry. The Lifetime plan is a one-time purchase with no time limit; however, there is no entitlement to specific features beyond the current scope at any given time.
§ 5 Plans
The Founder plan (€9/month) is limited to 100 users and is no longer available once capacity is reached. The regular Basic plan is €14.90/month. Existing Founder users retain their discounted rate for listings active at the time of any upgrade.
The Lifetime plan is subject to a monthly fair-use cap (1,000 optimizations + 200 Brave scans per month). Usage above this cap is billed via pay-as-you-go credit. Image generation and image optimization are billed plan-independently through a separate pre-paid image wallet.
§ 6 Pricing and Payment
All prices include applicable statutory VAT. B2B customers within the EU holding a valid VAT identification number are invoiced under the reverse charge mechanism. Payment is processed via Stripe (credit card, SEPA direct debit, and additional methods where available). Invoices are sent automatically by email.
In the event of payment default, the Provider is entitled to suspend access until all outstanding amounts are settled. Price adjustments for new billing periods will be communicated with at least 30 days' notice.
§ 7 Data Flow – Symbiotic Model
By entering into the contract, the user authorizes the Provider to include aggregated and fully anonymized performance data from their listings in the global benchmark pool. This is a prerequisite for the live industry data available within the platform and the app easylisting. Personal data and protected trade secrets (e.g., purchase prices, internal cost calculations) are explicitly excluded from this authorization.
§ 8 Usage Rights and Licences
The Provider grants the user a non-exclusive, non-transferable right to use the platform easylisting.io and the app easylisting within the scope of the chosen plan for the duration of the contract. Sub-licensing or resale of usage rights is not permitted.
Content submitted by the user to the platform (e.g., product descriptions, images, pricing data) remains the property of the user. The user grants the Provider a limited, royalty-free licence to use such content to the extent technically necessary for the provision of the agreed services (processing, storage, display, AI processing).
§ 9 User Obligations and Prohibited Use
The user agrees to use the platform and the app easylisting for lawful purposes only. The following uses are expressly prohibited:
- Automated extraction of content or data (scraping) without the Provider's prior written consent
- Distribution of malware, viruses, or other harmful code via the platform
- Misuse of credentials or unauthorized access to other users' accounts
- Use for distributing unlawful, discriminatory, defamatory, or deceptive content
- Actions that threaten the stability, security, or integrity of the platform (e.g., DDoS attacks, injection attacks)
- Reverse engineering, decompilation, or disassembly of the software, except as expressly permitted by law
- Use of AI-generated outputs to create competing training datasets
- Reselling platform-generated content as a standalone service to third parties without an express agreement with the Provider
In the event of violations, the Provider is entitled to suspend access immediately and without prior notice. Further legal action remains reserved.
§ 10 Intellectual Property
All rights in the platform easylisting.io, the app easylisting, the brand name E.A.S.Y., the algorithms, software design, architecture, and provided content (including texts, graphics, logos, and database structures) are the exclusive property of the Provider or its licensors. No ownership rights are transferred to the user under these Terms.
Use of the Provider's trademarks, logos, or other identifiers for commercial purposes requires express written consent.
§ 11 Availability and Maintenance
The Provider targets a platform availability of 99% on an annual average, measured excluding scheduled maintenance windows. Planned maintenance is performed, where possible, during low-demand periods (primarily 00:00–06:00 CET/CEST) and announced at least 24 hours in advance.
No availability guarantee applies in cases of force majeure, third-party attacks, outages of external API interfaces (marketplaces, AI providers, payment processors), or failures of general telecommunications infrastructure.
§ 12 Third-Party Services and Integrations
The platform easylisting.io and the app easylisting make use of services and APIs from third-party providers. The terms and conditions of those third-party providers apply additionally to the use of such integrations. Key integrated services include:
- TikTok / TikTok for Business / TikTok Shop — Integration for the optimization, management, and analysis of TikTok Shop listings via the app easylisting; the TikTok Terms of Service and TikTok Developer Terms apply.
- Amazon — Connected via Amazon SP-API and Advertising API; Amazon's Service Terms apply.
- eBay — Connected via eBay REST APIs; eBay's User Agreement applies.
- Etsy — Connected via Etsy Open API; Etsy's Terms of Use apply.
- Anthropic (Claude AI) — for AI-powered text generation and the "Mira" assistant.
- Stripe — for payment processing and subscription management.
- Google — for Google Ads, Google Shopping, and Analytics integrations.
The Provider is not responsible for outages, changes, or discontinuations of third-party services and is entitled to adjust or remove integrations when third-party providers change their APIs or terms of service.
§ 13 Cancellation
Monthly subscriptions may be cancelled at any time to the end of the current billing month via the customer account. No pro-rata refund is provided for early cancellation. After cancellation, data remains accessible in read-only mode for 90 days, after which it is irreversibly deleted, subject to any statutory retention obligations.
The right to terminate for cause remains unaffected. Cause for the Provider includes in particular serious or repeated violations of these Terms, payment default exceeding 30 days, or unlawful use of the platform or the app easylisting.
§ 14 Liability and Warranty
The Provider is liable without limitation for intent and gross negligence and for injury to life, body, or health. For ordinary negligence the Provider is only liable for breach of material contractual obligations (cardinal duties), and in such cases only up to the amount of typical foreseeable damage.
Liability for lost profits, unrealized search rankings, unrealized revenue, or damages caused by third-party providers (marketplaces, AI models, payment processors) is excluded, unless intent or gross negligence is involved. The Provider does not warrant that AI-generated content is error-free, legally compliant, or suitable for any specific purpose. The user retains sole responsibility for reviewing and publishing listings and managing advertising campaigns.
§ 15 Right of Withdrawal (Consumers)
Consumers (natural persons acting for purposes outside their trade, business, or profession) have a statutory right of withdrawal of 14 days. The right of withdrawal expires early for digital content and SaaS services if the Provider has begun performance and the consumer has expressly consented to performance beginning before the withdrawal period expires and acknowledged that the right of withdrawal is thereby lost.
Corresponding notices and consent prompts are provided before first active use. A separate withdrawal notice is provided to the user upon conclusion of the contract.
§ 16 Amendments to these Terms
The Provider is entitled to amend these Terms with 30 days' notice. Amendments are communicated by email to the address on file. If the user does not object within 30 days of receiving the notice, the amended Terms are deemed accepted. The notice will expressly refer to the right to object and the consequences of silence. In the event of an objection, the Provider is entitled to terminate the contract with effect from the date the new Terms come into force.
§ 17 Governing Law and Jurisdiction
These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). If the user is a merchant, a legal entity under public law, or a special fund under public law, the exclusive place of jurisdiction is Mühlhausen, Germany.
Should any provision of these Terms be or become invalid or unenforceable in whole or in part, the validity of the remaining provisions shall not be affected. The invalid provision shall be replaced by the applicable statutory rule.
